The relation between board of directors’ compensation and firms’ performance: Study of publicly listed Finnish companies

Abstract

The aim of this thesis is to shed a light to board of directors’ compensation practices. The main focus is on studying whether or not the compensation of board of directors have effect on firms’ performance. In addition, the study considers other board structure factors affecting on firms’ performance. Furthermore, the study concentrates on finding the factors affecting to the level of board of directors’ compensations. The thesis is conducted as quantitative research and limited to the Finnish stock listed companies during the years of 2012-2017. The method used in this thesis is ordinary least-squares (OLS) regression model which is complemented with correlation analysis. To gain better understanding of the used data the descriptive statistics are introduced in a detailed manner. The dependent variables used to measure firms’ performance in this study were return on assets, Tobin’s Q, dividend yield, operating profit %, and stock return. In addition, several explanatory and controlled variables are used in this thesis. The explanatory variables include the total compensation paid for the board of directors, usage of equity-based compensation, board size, total amount of board meetings and total amount of committees. The research method of this study has been chosen based on the previous research. The study finds evidence that there is a statistically significant relation between most of the performance variables and total compensation paid for the board of directors. Surprisingly, the relation found was negative, meaning that the increase in the total compensation would affect negatively to firms’ performance when analyzing all companies from the data set. However, when analyzing separately firms’ who are using equity-based compensations and whom are not, it was noted that the relation turned out to be positive if stock-based compensation was in use. In addition, there were statistically significant relation found between usage of stock-based compensations and some of the firms’ performance variables. Basically, the firms using equity-based compensation are more likely to have better performance. Additionally, it was discovered that larger boards tend to demolish firms’ performance. The main reason for this could be the communication and coordination issues. This is in line with the previous research performed. Overall, the firms’ size seems to determine very heavily the level of paid compensations. Overall, this thesis creates value for the already existing literature with original data used and performed in the new market area. However, the results have to be interpreted cautiously, due the data and scope limitations. Still, the thesis gave a good insight of the board of directors’ compensation practices.

Tutkielman tavoitteena on tuoda selvyyttä yritysten hallitusten jäsenten palkitsemiskäytäntöihin. Pääasiallisena kiinnostuksen kohteena on selvittää, onko hallituksen jäsenten palkitsemisella vaikutusta siihen, miten hyvin yritykset menestyvät. Tämän lisäksi tutkielmassa otetaan huomioon myös hallituksen rakenteeseen liittyvät tekijät, joilla mahdollisesti on vaikutusta yrityksen menestymiseen. Tutkielmassa pyritään myös tarkastelemaan ja löytämään mitkä tekijät vaikuttavat yrityksen hallituksen jäsenille maksettavan palkkion suuruuteen. Tutkielma on toteutettu kvantitatiivisena tutkielmana ja se on rajattu koskemaan Suomalaisia, pörssissä listautuneita, yrityksiä vuosien 2012–2017 aikana. Tutkimusmenetelmänä on käytetty pienimmän neliösumman regressioanalyysia (eng. OLS), jota täydennetään korrelaatioanalyysilla. Data esitellään tutkielmassa kuvailevalla tilastoanalyysilla yksityiskohtaisesti. Selitettävät muuttujat, joita on käytetty kuvaamaan yrityksen taloudellista suoriutumista, ovat pääoman tuottoaste (ROA), Tobinin Q, osinkotuotto, käyttökate % sekä osaketuotto. Tämän lisäksi tutkielmassa on käytetty useita selittäviä sekä kontrolloituja muuttujia. Selittävät muuttujat koostuvat yrityksen hallituksen jäsenille maksetusta kokonaispalkkiosta, osakepalkkiojärjestelmän käytöstä, hallituksen koosta, hallituksen kokousten määrästä sekä valiokuntien määrästä. Tutkimusmetodi on valittu perustuen aikaisempiin tutkimuksiin koskien hallituspalkkioiden ja yritysten suoriutumisen välistä yhteyttä. Tutkielmassa löydettiin tilastollisesti merkittävä suhde useiden yrityksen menestystä mittaavien muuttujien sekä hallituksen jäsenille maksetun kokonaispalkkion välillä. Tämä suhde on tutkimuksen perusteella negatiivinen analysoitaessa kokonaisuutena kaikkia yrityksiä, jolloin jäsenelle maksetun kokonaispalkkion kasvu vaikuttaa negatiivisesti yrityksen taloudelliseen suoriutumiseen. Kuitenkin, kun tätä suhdetta analysoitiin vain niiden yritysten osalta, joilla on osakepalkkiojärjestelmä käytössä, oli löydetty suhde positiivinen. Tutkielmassa löydettiin myös positiivinen suhde osakepalkkiojärjestelmän käytön sekä yrityksen taloudellista suoriutumista kuvaavien muuttujien välillä. Käytännössä voidaan todeta, että niillä yrityksillä, jotka käyttävät osakepalkkiojärjestelmää hallitusten jäsenten palkitsemiseen, on paremmat mahdollisuudet menestyä taloudellisesti. Tutkielman perusteella voidaan myös todeta, että hallituksen koko voi vaikuttaa negatiivisesti yrityksen menestymiseen. Käytännössä tämä voi johtua kommunikointi sekä koordinointi ongelmista, joita isot hallitukset saattavat kohdata. Yleisesti ottaen myös yrityksen koko vaikuttaa merkittäväsi hallituksen jäsenille maksettavan palkkion suuruuteen. Kokonaisuudessaan tutkielma luo arvoa aikaisemman kirjallisuuden lisäksi, sillä tutkielmassa on keskitytty uniikkiin talousalueeseen ja se on toteutettu uudella datalla. Tutkielman tuloksia tulee kuitenkin lukea pienellä varovaisuudella eikä yleistää sellaisenaan, sillä tutkielma on rajattu koskemaan vain tiettyä ajanjaksoa yhdellä markkina-alueella. Yleisesti ottaen tutkielma antaa hyvän ja laajan kuvan yrityksen hallituksen palkitsemisen käytännöistä.
